Terms of Service

In effect from

These terms are the agreement between you and YoIndie ("we", "us") covering your use of YoIndie (the "Service"). By creating an account or using the Service, you accept them. If you are accepting on behalf of a company, you are confirming that you have the authority to bind it.

YoIndie is a software studio. Every product offered through the Service is built by us and sold by us; there are no other sellers on it.

Our Privacy Policy explains how we handle personal data and forms part of this agreement.

1. Who may use the Service

You must be at least 18, or the age of majority where you live, and you must not be barred from using the Service under the laws that apply to you. If we have previously terminated your account, you may not create another one without our agreement.

2. Your account

You are responsible for what happens under your account, including anything done by someone you gave access to. Keep your password and your sign-in codes to yourself, give us accurate information, and tell us promptly at contact@yoindie.com if you think someone else has got in.

We may suspend an account we reasonably believe has been compromised, and we will tell you when we do.

3. Acceptable use

Use the Service for what it is for. Do not:

  • break the law with it, or use it to infringe someone else's rights;
  • upload malware, or content that is unlawful, abusive, or sexual content involving minors;
  • attempt to access another account, another customer's data, or any part of our systems you have not been given access to;
  • probe, scan, load-test or attack the Service, or work around a rate limit, a quota or an access control;
  • scrape it, resell it, or run it on someone else's behalf as a competing service, unless we have agreed in writing;
  • misrepresent who you are, or send bulk unsolicited messages through it.

Reporting a security vulnerability in good faith is not a breach of this section. Write to contact@yoindie.com before disclosing it publicly and we will work with you.

4. Your content

Anything you upload, type or send through the Service stays yours. We claim no ownership of it.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit and display that content only to the extent needed to operate the Service for you, to keep backups, and to comply with the law. The licence ends when you delete the content or close your account, except for backup copies that expire on their normal schedule.

You are responsible for having the right to upload what you upload.

5. Plans and payment

Prices are shown in the app before you buy, and are exclusive of taxes unless stated otherwise. You are responsible for any tax, duty or levy that applies to you, other than tax on our income.

  • Plans are paid once. There is no subscription and nothing renews: you pay the price shown at checkout, once, and keep that plan.
  • Upgrading to a higher plan is a separate purchase, at that plan's price.
  • An offer shown at checkout applies to that purchase. A later or larger offer does not entitle you to the difference.
  • Price changes apply to future purchases only. A plan you have already bought is not affected.

Payment is processed by the provider named on the checkout page. Their terms govern the payment transaction itself.

6. Refunds

If the Service does not work as described and we cannot fix it, write to contact@yoindie.com within 14 days of the charge and we will refund it.

Beyond that, fees already paid are non-refundable — except where a refund is required by consumer law where you live, in which case that law wins and nothing here limits it.

7. Availability

We work to keep the Service running and we do not promise it will never be down. There is no uptime commitment in these terms; if you need one, ask us about a separate agreement.

We may change, add to, or remove features. If we remove something you are relying on, or make a change that materially reduces the Service, we will give you reasonable notice. If that happens within 12 months of your buying a plan, you may ask for a refund of what you paid for it.

We may need to take the Service down for maintenance, and will give notice where we reasonably can.

8. Suspension and termination

You can close your account at any time by writing to contact@yoindie.com.

We may suspend or terminate your account if you materially breach these terms, if your use puts the Service or other customers at risk, if payment fails and stays unpaid, or if we are required to by law. Except where the breach is serious or the law prevents it, we will tell you first and give you a chance to put it right.

On termination your right to use the Service stops, and we delete your data on the schedule in the Privacy Policy. Sections 4, 10, 11, 12, 13 and 15 survive.

9. Our intellectual property

The Service — its software, design, and content other than yours — belongs to us and our licensors. These terms give you a limited, revocable, non-transferable right to use it, and nothing more. Feedback you send us we may use freely, without obligation to you.

10. Disclaimers

To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing.

Nothing here excludes a warranty or right that cannot lawfully be excluded — including consumer guarantees where you live.

11. Limitation of liability

To the fullest extent the law allows:

  • Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused.
  • Our total liability arising out of or relating to the Service, in aggregate, is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or the equivalent of 100 US dollars in your currency.

These limits do not apply to death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot lawfully be limited.

12. Indemnity

If a third party brings a claim against us because of your content, your use of the Service, or your breach of these terms, you will defend us against it and cover the resulting damages, losses and reasonable legal costs. We will tell you about the claim promptly and let you control the defence, provided any settlement releases us fully.

13. Changes to these terms

We may update these terms. If a change materially affects your rights or obligations, we will email you at least 30 days before it takes effect. Continuing to use the Service after that is acceptance. If you do not accept, stop using it before the date; if that is within 12 months of your buying a plan, we will refund what you paid for it.

14. Governing law and disputes

These terms are governed by the laws of India, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.

If you are a consumer, this does not deprive you of the protection of the mandatory law of the country you live in, or of the right to bring a claim in your local courts where that law gives it to you.

Before filing anything, please write to contact@yoindie.com. Most disputes are a misunderstanding and are cheaper to fix in an email.

15. General

These terms, with the Privacy Policy, are the entire agreement between us on this subject. If a provision is held unenforceable, the rest stands. Our not enforcing something is not a waiver of it. You may not assign this agreement without our consent; we may assign it to an acquirer of the business. Nothing here creates a partnership, agency or employment relationship, and there are no third-party beneficiaries.
